Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Nerd Zero Private Limited (“Nerd Zero”, “Homwe”, “we”, “us” or “our”), a company operating in Zimbabwe, governing your access to and use of the Homwe website, product, and any related services (together, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. If you are agreeing to these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity, in which case “you” and “your” refers to that entity.

Homwe is currently offered in early access. Features, pricing, and availability described on this site may change as the product develops.

1. Changes to these Terms

We may update these Terms from time to time as Homwe evolves. If we make material changes, we will update the effective date above and, where reasonably practical, notify you (for example, by email or a notice on the Service). Continuing to use the Service after a change takes effect means you accept the updated Terms. If you don’t agree with a change, you should stop using the Service.

2. Privacy & data protection

Homwe processes personal information and business data in accordance with our Privacy Policy and the Cyber and Data Protection Act [Chapter 12:07] of Zimbabwe (“CDPA”), together with any other data protection law that applies to your use of the Service. The Privacy Policy is incorporated into these Terms by reference.

Where you use Homwe to store or process personal information about your own customers, employees, or other individuals (“your data subjects”), you are responsible for having a lawful basis to collect that information and for complying with the CDPA and any other applicable law in respect of it. Homwe processes that data on your behalf, solely to provide the Service to you.

3. Accounts

To use most of the Service you’ll need an account. You agree to provide accurate, current information, to keep your login credentials confidential, and to notify us promptly at hello@homwe.app if you suspect unauthorized access to your account. You’re responsible for all activity that occurs under your account.

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account and use the Service.

4. The Service

Homwe unifies invoicing, stock, and the other tools a business already uses into one connected, AI-native record of its finances. The Service is provided on an evolving basis: we may add, change, or remove features, and — particularly during early access — the Service may be modified or interrupted without the notice that would apply to a mature, generally-available product.

Homwe connects to third-party tools and platforms you choose to integrate (for example, point-of-sale, e-commerce, or hosting providers) in order to derive your accounting streams. We aren’t responsible for the availability, accuracy, or acts and omissions of those third-party services, and your use of them is governed by their own terms and privacy policies.

5. Your data and content

You own the business data, documents, and other content you submit to or generate through the Service (“Your Content”). You grant Homwe a limited license to host, process, and display Your Content solely as necessary to operate and improve the Service for you.

You’re responsible for the accuracy and legality of Your Content, and for having the rights necessary to provide it to us. We reserve the right to remove or restrict access to content that we reasonably believe violates these Terms or applicable law.

6. Acceptable use

You agree not to use the Service to:

• violate any applicable law or regulation, including the CDPA or other data protection or cybercrime legislation;
• infringe the intellectual property, privacy, or other rights of any person;
• attempt to gain unauthorized access to the Service, other accounts, or our systems and networks;
• introduce malware, or interfere with or disrupt the integrity or performance of the Service;
• scrape, crawl, or systematically extract data from the Service other than through an integration we provide or approve;
• reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent applicable law expressly permits it; or
• use the Service to store or transmit content that is fraudulent, unlawful, or infringing.

We may suspend or terminate access for any account we reasonably believe is in breach of this section.

7. Fees & payment

Homwe is currently offered free of charge during early access, as described on our Pricing page. We may introduce paid plans in the future. If we do, we will give you reasonable advance notice before any fee applies to an account you are actively using, and continuing to use a paid plan after that notice means you accept the applicable charges and billing terms in effect at that time.

8. Intellectual property

The Service, including its software, design, branding, and underlying technology, is owned by Nerd Zero and protected by copyright, trademark, and other intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your own business purposes. Nothing in these Terms transfers any ownership rights in the Service to you.

9. Termination

You may stop using the Service and close your account at any time by contacting us at hello@homwe.app. We may suspend or terminate your access to the Service if you breach these Terms, or for any other reason with reasonable notice where practical. On termination, your right to use the Service ends; provisions of these Terms that by their nature should survive termination (including Sections 5, 8, 10, 11, and 12) will survive.

10. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We don’t warrant that the Service will be uninterrupted, error-free, or free of harmful components, particularly during early access.

11. Limitation of liability

To the maximum extent permitted by law, Nerd Zero will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the fees you paid us for the Service in the twelve (12) months before the claim arose, or (b) one hundred United States dollars (US$100).

Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law.

12. Governing law & disputes

These Terms are governed by the laws of Zimbabwe, including the CDPA in respect of data protection matters, without regard to conflict-of-law principles. The courts of Zimbabwe have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to that jurisdiction.

13. General

If any provision of these Terms is found unenforceable, the rest of the Terms will remain in full effect. Our failure to enforce a right under these Terms is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
